These Terms and Conditions govern your use of the services, website, materials, software, and support provided by GWTS, LLC d/b/a Redfire Technologies, Inc. (“Redfire Technologies,” “we,” “us,” or “our”). By using our services, submitting an order, or accessing our website, you agree to these Terms.
1. Services
Redfire Technologies provides technology consulting, support, implementation, and related services as described in an accepted order, proposal, statement of work, or service plan. We will use commercially reasonable efforts to provide the services, but we do not guarantee that every issue can be resolved.
2. Customer Responsibilities
You agree to cooperate with our team, provide accurate information, maintain backups of your data, protect your passwords and accounts, and ensure that you have the right to allow us to access or support your systems. You are responsible for your own data, software, hardware, accounts, and third-party services.
3. Fees and Payment
You agree to pay all fees described in the applicable order or service plan. If you provide a credit card, debit card, ACH, or other payment method, you authorize us or our payment processor to charge that payment method for amounts due. Failed or returned payments may result in additional fees, suspension, or termination of services.
4. Refunds
Refunds are provided only as stated in the applicable order or service plan, or as required by law. We may, in our discretion, issue partial or full refunds on a case-by-case basis.
5. Third-Party Products and Services
We may recommend, install, configure, or support third-party software, hardware, or services. Those third-party products are governed by their own terms, licenses, warranties, and privacy policies. We are not responsible for third-party products or services.
6. Remote Access
If remote access is used, you authorize us to access your systems only for the purpose of providing services. You are responsible for closing, saving, or backing up files before support begins.
7. Privacy
Our collection and use of personal information is governed by our Privacy Policy. By using our services, you agree to our Privacy Policy.
8. Intellectual Property
All materials, content, documentation, software, trademarks, and other intellectual property provided by Redfire Technologies remain the property of Redfire Technologies or its licensors. You may not copy, resell, modify, distribute, or misuse our materials except as expressly allowed in writing.
9. Acceptable Use
You may not use our services for unlawful, fraudulent, abusive, harmful, or unauthorized purposes. We may suspend or terminate services if we believe your use violates these Terms, applicable law, third-party rights, or system security.
10. No Warranties
Services are provided “as is” and “as available” unless otherwise stated in writing. To the fullest extent allowed by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the fullest extent allowed by law, Redfire Technologies will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages. Our total liability for any claim will not exceed the amount you paid us for the specific service giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Redfire Technologies and its officers, employees, contractors, and affiliates from claims arising from your misuse of the services, violation of these Terms, violation of law, or infringement of third-party rights.
13. Termination
Either party may terminate services as allowed by the applicable order or service plan. We may suspend or terminate services immediately for nonpayment, misuse, security risk, unlawful activity, or violation of these Terms.
14. Disputes and Governing Law
These Terms are governed by the laws of the United States and the applicable laws of the state identified in the relevant order or, if none is identified, the state where Redfire Technologies maintains its principal place of business, without regard to conflict-of-law rules. Any dispute will be handled in the courts or dispute-resolution forum stated in the applicable order, unless otherwise required by law.
15. Changes to Terms
We may update these Terms from time to time. Updated Terms will apply after they are posted or otherwise provided to you, unless a different effective date is stated.
